Jonathan McCarter serves as the America's Energy Transaction Advisory Services leader with over 18 years of public accounting experience.

Jon has significant domestic and cross-border transaction experience on over 250 transactions with companies in all the major sectors of the various natural resource industries, including upstream, midstream, and downstream oil and gas, oilfield services, power/utilities, petrochemicals, and mining.

Christopher Lallo joined the Houston office of Ernst & Young LLP in 2008 and currently leads the transaction tax practice for the Southwest area. He was formerly a partner at Fulbright & Jaworski L.L.P. His practice is focused on both domestic and international tax matters, with broad-based experience in the area of tax planning related to domestic and cross-border mergers and acquisitions, including taxable and nontaxable transactions, cross-border investments, financing structures, withholding issues, securities offerings, and executive compensation matters.

Chris has counseled clients in the following areas:

Mergers and Acquisitions: Represents buyers and sellers of public and private organizations in various types of transactions, including cross-border transactions, taxable and nontaxable stock and asset transactions. Also represents clients in connection with tax issues related to acquisition financing structures.

Private Equity Transactions: Represents investors and companies that have been acquired by private equity funds, providing tax counsel on acquisitions and divestures. Provides counsel on tax matters for both domestic and foreign funds.

International Tax Planning: Represents clients in connection with global structure planning and business transactions from a tax perspective. Clients include both U.S. and foreign based multinational businesses.

Executive Compensation Matters: Represents clients in connection with tax issues related to secondment and other cross-border employment matters.

Gregory Matlock joined the Houston office of Ernst & Young LLP in May of 2010. Prior to joining Ernst & Young LLP, Greg was a tax lawyer at Fulbright & Jaworski L.L.P.

Greg also serves as the Tax Sector Resident for Ernst & Young LLP's Global Oil and Gas Center. Greg focuses on U.S. federal income tax planning and structuring for business transactions involving partnerships (including master limited partnerships) and corporations, with particular emphasis on joint ventures and inbound and domestic oil and gas investments.

Greg has significant structuring experience with respect to various types of oil and gas investments and transactions, including upstream, midstream, and downstream transactions, as well as oilfield services.

Greg has counseled clients in a significant number of inbound oil and gas transactions, including, in particular, a significant number of joint venture transactions.
